1. About these terms

These Terms of Service (“Terms”) govern your access to and use of the apps, integrations and related services (“Services”) provided by Good Native, a trading name of Do Harvey Pty Ltd (ABN 52 631 514 442) (“we”, “us”, “our”). By installing, subscribing to or using any of our Services, you agree to these Terms. If you accept them on behalf of a company or other legal entity, you confirm you have authority to bind that entity. Shopify’s own terms also apply to apps you install through the Shopify App Store.

2. Services

Good Native builds apps (“Apps”) for Shopify and Webflow, including Bloom. Our Apps can connect to third-party services such as Klaviyo, Google Analytics, Google Ads, Meta Ads, Google Tag Manager, Slack and AI assistants you choose to connect. We may modify, suspend or discontinue any App or feature with reasonable notice. We give at least 30 days’ notice before a material change to, or discontinuation of, a paid App.

3. Your account

Installing a Shopify App links it to your Shopify store. For other Services, you create an account with accurate, current information. You’re responsible for keeping your credentials confidential and for all activity under your store or account, including actions taken by staff and AI assistants you connect. You must be at least 18 and able to enter a binding agreement to use the Services.

4. Plans and billing

  • Shopify Apps are billed by Shopify on your Shopify invoice, monthly in advance, in USD. You approve each plan in Shopify, and Shopify handles proration when you change plan. See Plans and billing for Bloom’s plans and caps.
  • Other Services are billed by Paddle.com Market Limited (“Paddle”), our Merchant of Record, monthly in advance. Paddle is the seller of record and handles sales tax and VAT. By subscribing, you also agree to Paddle’s terms.
Subscriptions renew automatically each billing period until you cancel.

5. Free trials

Some plans start with a free trial. The trial length is shown when you approve the plan. The plan converts to paid at the end of the trial unless you cancel before it ends. Plan caps apply during the trial.

6. Cancellation

  • Shopify Apps - switch to a free plan or uninstall the App in your Shopify admin. A downgrade to a free plan takes effect at the end of the current billing period.
  • Other Services - cancel from your account dashboard or by emailing us. Cancellation takes effect at the end of the current billing period, and you keep access until then.
We don’t give pro-rata refunds for part of a billing period. See the Refund policy.

7. Acceptable use

You agree not to:
  • Use the Services unlawfully or in breach of any applicable law.
  • Reverse-engineer, decompile or disassemble any part of our Apps.
  • Use the Services in a way that could damage, disable or impair Shopify, Webflow or any connected third-party service.
  • Resell, sublicense or redistribute the Services without our written consent.
  • Access the Services through automated systems beyond reasonable use.
  • Transmit malicious code or harmful data through the Services.

8. Intellectual property

All intellectual property in the Services, including software, documentation, branding and content, belongs to Do Harvey Pty Ltd. These Terms don’t give you ownership of the Services. You keep all rights to your data. You grant us a limited licence to access, process and transmit it only to provide the Services.

9. Data and integrations

Our Apps access only the data needed for the features you use. The Privacy policy explains what we collect and how we use it. You’re responsible for having the right to share data from connected platforms with our Services, and for following those platforms’ terms. Data an AI assistant reads is handled by its provider under your agreement with them.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from these Terms or the Services is limited to the amount you paid us in the 12 months before the claim. We’re not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, data or business opportunities, even if advised of the possibility. Nothing in these Terms excludes or limits any consumer guarantee under the Australian Consumer Law that can’t lawfully be excluded or limited.

11. Indemnification

You agree to indemnify Good Native, Do Harvey Pty Ltd and our officers, employees and agents against any claims, losses or damages, including legal fees, arising from your use of the Services, your breach of these Terms, or your infringement of a third party’s rights.

12. Termination

We may suspend or terminate your access immediately if you breach these Terms, act fraudulently, or the law requires it. Your right to use the Services then ends. We make commercially reasonable efforts to let you export your data first, unless the law prevents it or termination follows a serious breach.

13. Warranties and disclaimers

The Services are provided “as is” and “as available”, without warranties except those the law requires. We don’t warrant that the Services will be uninterrupted, error-free or free of harmful components. To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

14. Changes to these terms

We email you or notify you in our Apps at least 14 days before a material change takes effect. Using the Services after that date means you accept the updated Terms.
